Terms of Service

Welcome to Divot Pivot! We are a subscription-based platform designed to connect golfers so that they can experience more golf courses affordably while building social connections.

Please review these Terms of Service (referred to herein as the "Terms," "T&Cs," or "Agreement") carefully. By accessing, using, or creating an account on the Divot Pivot website or mobile application (collectively, the "Services"), you agree to be legally bound by these Terms. Your use of the Services is also governed by our Privacy Policy and Community Guidelines, which are incorporated into this Agreement by reference.

I. Introduction and Scope of Services

Divot Pivot is a platform where individual golfers connect to host and be hosted at private golf clubs, facilitating golfer matchmaking and access to courses at discounted guest rates. The Services are provided to you by Divot Pivot Ltd., established in Dublin, Ireland.

These Terms apply to all users ("you") accessing or using our Services, regardless of subscription status.

II. Registration, Eligibility, and Account

2.1 Eligibility Requirements

To create an account and use the Services, you must represent and warrant that you are an individual at least 18 years old.

By using our Services, you represent and warrant that:

  • You are legally qualified to enter a binding contract with Divot Pivot.

  • You are not a beginner and are at an appropriate level for guest play (implicit based on target audience exclusion criteria).

  • You will create only one account for your own personal use.

  • You have not previously been removed or banned from our Services.

2.2 Account Information and Security

You agree to provide true, accurate, current, and complete information about yourself ("User Data") during registration, and you agree to maintain and promptly update this data. You agree to maintain the security and confidentiality of your password. You are solely responsible for all activities associated with your account.

III. Subscription, Payments, and Cancellation

3.1 Payments and Fees

Access to the core Services requires a subscription. Standard subscription [“Clubhouse membership] fees are €179.99 per year or €39.99 per month. An initial Beta subscription [“Founder’s Beta”] will be offered at a discounted rate of  €59.99 per year or €39.99 for 6 months.

To pay any fee, you must designate and provide information about your preferred Payment Method (e.g., credit card, third-party platform). You authorize Divot Pivot and its third-party service providers to charge your designated Payment Method for all applicable costs and charges, including taxes. 

3.2 Automatic Renewal

Subscription fees will be billed automatically at the start of the monthly, bi-annual or annual period (as applicable) until your subscription is terminated or amended. Your subscription fee will remain the same as your initial charges unless you are notified otherwise in advance. You must cancel your subscription prior to the end of the current billing cycle to stop auto-renewal.

3.3 Cancellations and Refunds (EU/EEA/UK Consumers)

If you reside in the European Economic Area, the United Kingdom, or Switzerland, you may be entitled to consumer rights regarding withdrawal.

  • Right of Withdrawal: You are generally entitled to change your mind and receive a full refund within fourteen (14) days from the purchase of your subscription ("Withdrawal Period").

  • Waiver of Withdrawal: Since the Services provide immediate access to digital content (i.e., the platform and networking features), you understand and agree that by accessing or using the paid Services during the Withdrawal Period, you explicitly request and consent to the immediate performance of the digital content, and acknowledge that by giving this consent, your right of withdrawal will lapse.

Termination by User: You may cancel your subscription at any time. If you terminate a subscription, you may continue to use the service until the end of your current subscription term, but you will not be entitled to a refund for any unexpired period, except where required by applicable law.

IV. User Content and License

4.1 Responsibility for Content

You are solely responsible and liable for all information, data, text, photographs, graphics, messages, posts, or other materials you make available in connection with the Services ("Content"). You represent and warrant that you own the Content or otherwise have the necessary rights and licenses to grant the rights set forth in these Terms.

4.2 License Granted to Divot Pivot

You retain all ownership rights in your Content. By submitting Content, you grant Divot Pivot an irrevocable, perpetual, non-exclusive, transferable, sub-licensable, royalty-free, worldwide license to host, store, use, reproduce, modify, publish, publicly display, distribute, and create derivative works of your Content in connection with operating, improving, promoting, and protecting the Services. This license survives account termination for content required to remain on the platform (e.g., for operational continuity or legal compliance).

4.3 Monitoring and Removal

Divot Pivot reserves the right, but is not obligated, to screen, monitor, restrict, refuse, or remove any Content that violates these Terms or is otherwise illegal or contrary to applicable law, without liability.

4.4 Feedback and Suggestions

If you provide comments, feedback, or suggestions regarding the Services ("Feedback"), you grant Divot Pivot a worldwide, non-exclusive, perpetual, irrevocable, royalty-free license to copy, distribute, create derivative works of, and exploit such Feedback for any purpose without compensation to you.

V. Acceptable Use and Community Standards

Your participation in the Divot Pivot community is a commitment to upholding our values of Integrity, Connection, Inclusivity, and Community. You agree to adhere to these Terms and the Divot Pivot Community Guidelines, following the pillars to Be kind, Be respectful, Be safe, and Be real.

5.1 Prohibited Content and Conduct

You agree that you will not upload or share Content or engage in conduct that:

  • Is Illegal or Promotes Harm: Is illegal or facilitates any illegal activity (including sexual exploitation, terrorism, fraud, or violation of privacy laws).

  • Is False or Misleading: Contains fraudulent, false, deceptive, or misleading statements, or that impersonates another person or entity.

  • Is Abusive or Discriminatory (Violates Kindness/Respect): Constitutes harassment, bullying, stalking, intimidation, defamation, abuse, hate speech, racism, or bigotry towards any individual or group. You must not abuse or threaten Customer Care Representatives.

  • Involves Violence or Physical Harm (Violates Safety): Threatens or incites physical or mental harm, or depicts violence, graphic or gory content, or encourages self-injury.

  • Is Sexual or Obscene: Is sexually explicit, sexually vulgar, or contains nudity.

  • Involves Restricted Goods: Facilitates the sale, purchase, exchange, donation, or provides instructions for manufacturing restricted goods (including firearms, explosives, illegal drugs, or regulated health devices).

  • Is Commercial or Spam: Uses the Services for unsolicited commercial or promotional purposes, scamming, spamming, or soliciting money/business.

  • Infringes Intellectual Property: Violates any intellectual property rights, including copyrights, patents, trademarks, or trade secrets belonging to Divot Pivot or third parties.

Involves Platform Manipulation: Attempts to reverse engineer, scrape data for commercial purposes, circumvent security measures, or interfere with the platform's operation.

VI. Disclaimer of Warranties and Limitation of Liability

6.1 Role of Divot Pivot and Assumption of Risk

Divot Pivot is a matchmaking platform designed to connect members. We do not assume responsibility for the inspection, supervision, preparation, or conduct of any group activity or golf round that utilises the Services.

You expressly agree that athletic activities (including golf) carry certain inherent and significant risks of property damage, bodily injury, or death. You voluntarily assume all known and unknown risks associated with these activities, even if caused by the negligence of others.

6.2 Relationship with Third-Party Golf Clubs

Divot Pivot Ltd. operates as an independent matchmaking platform and maintains no particular affiliation, partnership, or agency relationship with any golf club, course, or facility unless explicitly stated in a separate written agreement. You acknowledge and agree that:

• Divot Pivot serves only as a venue to connect individual golfers and is not involved in the actual operation, management, or financial transactions of the golf clubs where members may be hosted.

• Divot Pivot Ltd. is not responsible for any impact on a golf club’s revenues, including but not limited to loss of green fees, retail sales, or food and beverage consumption, resulting from the actions, omissions, or presence of Divot Pivot members.

• All actions, behavior, and consumption by members at a host club are the sole responsibility of the individual member. Divot Pivot does not supervise the preparation or conduct of golf rounds and disclaims all liability for property damage or financial loss caused by users during their interactions at third-party facilities.

6.3 Disclaimer of Warranties

THE SERVICES, INCLUDING ALL CONTENT, PRODUCTS, AND SOFTWARE, ARE PROVIDED TO YOU “AS IS” AND “AS AVAILABLE” AND WITHOUT WARRANTY. Divot Pivot EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Divot Pivot makes no representations or warranties as to the conduct, identity, legitimacy, or veracity of users. We are not responsible for the conduct of any user on or off the Service. You must use caution in all interactions with other users, particularly if you decide to communicate off the Service or meet in person.

We may modify or discontinue portions of our Services at any time, with or without notice.

6.4 Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, Divot Pivot SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR OTHER SIMILAR DAMAGES (INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL) ARISING OUT OF OR IN CONNECTION WITH YOUR USE OR MISUSE OF THE SERVICES OR YOUR INTERACTIONS WITH OTHER MEMBERS.

You agree to release Divot Pivot and its affiliates from any and all liability in connection with your athletic activities and/or use of the Services.

In no event shall Divot Pivot's aggregate liability to you for all claims related to the Services exceed the greater of €100 or the amount of fees paid by you to Divot Pivot in the 12 months prior to the date the claim arose.

If you are a consumer residing in the European Union, these terms do not affect your legal remedies if we cause you loss by our breach, non-performance of our legal obligations, or by our negligence.

6.5 Indemnity

You agree to indemnify and hold harmless Divot Pivot Ltd. and its affiliates from any claim or demand made by any third party or golf club arising out of or related to your Content, your breach of these Terms, your use of the Services, your athletic activities, or your conduct or consumption while using the Services or being hosted at another Divot Pivot member’s golf club.

VII. Intellectual Property and Claims of Infringement

All rights, title, and interest in the Services, including the Divot Pivot name, logo, software, and underlying technologies, are the exclusive property of Divot Pivot Ltd. or its licensors.

If you believe that content on the Services infringes your copyright, you may submit a notification of claimed infringement (e.g., a DMCA Takedown Notice) following established legal procedures. Divot Pivot reserves the right to terminate the accounts of repeat infringers.

VIII. Termination

8.1 Termination by Divot Pivot

Divot Pivot may, under certain serious circumstances and without prior notice, immediately suspend or terminate your account and/or access to the Services. Causes for termination include, but are not limited to, breaches of these Terms, misuse of the Services, inappropriate conduct (on or off the platform), illegal activity, or nonpayment of fees. If your account is terminated due to your breach, you will not be entitled to a refund.

8.2 Termination by User

You may delete your account at any time by following the instructions within the Service. If you have an automatically renewing subscription, you must separately cancel that subscription through the appropriate mechanism (e.g., external service account or website account settings) to avoid further billing.

IX. Governing Law and Dispute Resolution

9.1 Applicable Law and Jurisdiction (EU/EEA Residents)

If you are a user based in the European Union (including Ireland, where Divot Pivot is established), Irish law shall generally apply to these Terms, and the Irish courts shall have exclusive jurisdiction to hear disputes arising in relation to the Terms. However, the mandatory consumer protection laws of your country of residence within the EU/EEA or UK may still apply, and you may be able to take legal action against Divot Pivot in your local Member State.

9.2 Informal Dispute Resolution

Before formally pursuing a claim, you and Divot Pivot agree to try to resolve any disputes or claims through good faith negotiations. This informal resolution process is a precondition to either party initiating a lawsuit or arbitration.

9.3 Arbitration and Class Action Waiver (Non-EU/EEA Residents)

For users residing outside the EU/EEA, these Terms contain provisions that govern how disputes are resolved, including an agreement to arbitrate which requires you to submit claims against us to binding and final arbitration on an individual basis only. You and Divot Pivot waive the right to a jury trial and the right to file or participate in a class action.

10.2 Commercial Communications

Divot Pivot may send you commercial communications (e.g., newsletters or marketing). Details of how natural persons can register their choice regarding unsolicited commercial communications (opt-out mechanisms) shall be prominently displayed on the website and at every point where personal information is requested.

10.3 Modifications

Divot Pivot reserves the right to update and revise these Terms from time to time. We will notify you in advance of any material changes to the Terms. Your continued use of the Services after notice of modification constitutes acceptance of the modified Terms.

10.4 Entire Agreement and Severability

These Terms constitute the entire agreement between you and Divot Pivot. If any provision of the Terms is found to be invalid or unenforceable, that provision will be severed, and the remaining provisions will remain in full force and effect.
